Merchant Services Agreement
Effective Date: October 11, 2026
SpooLoo LLC d/b/a SpooLink
This Agreement defines the responsibilities of merchants that create events, distribute or sell tickets, manage admission, and use SpooLink’s merchant tools.
1. Agreement and Incorporated Policies
This Merchant Services Agreement applies when a person or organization creates or operates a SpooLink merchant account, publishes an event, sells or distributes tickets, uses LiveGate™, or accesses merchant tools. The Terms of Service, Privacy Policy, Ticket Purchase Policy, and event-specific disclosures are incorporated by reference. If a separately signed municipal, enterprise, or services agreement conflicts with this Agreement, the signed agreement controls for that subject.
2. Authority and Account Administration
The person accepting this Agreement represents that they are authorized to bind the Merchant. The Merchant is responsible for authorized users, staff permissions, account security, accurate business information, and activity performed through its account.
3. Events and Public Listings
The Merchant is responsible for event accuracy, dates, times, venues, capacity, performers, licenses, safety, accessibility, admission rules, customer communications, cancellations, and compliance with applicable law.
SpooLink may require merchant, payment, tax, legal, profile, ticket, and event-launch steps before publication or paid sales. A public listing may be withheld, unpublished, or restricted if a required condition becomes incomplete, invalid, revoked, unsafe, or unlawful.
4. Payments, Fees, and Payouts
Payment processing is provided through Stripe or another disclosed payment provider. Unless checkout states otherwise, the Merchant is the seller and merchant of record and SpooLink acts as a technology platform. Merchant-owned Stripe ticket transactions use the applicable Merchant’s connected account, with no platform-account fallback when that account is unavailable. Separate AI-credit purchases are platform purchases and do not form part of ticket payouts.
For each standard paid ticket purchased using a card, including a card-funded digital wallet, SpooLink currently charges 3.5% of the ticket price plus $0.75; Stripe or another payment provider may charge separate processing fees. A different written merchant rate or program controls when applicable. The Merchant must review its fee-allocation settings and ensure that ticket offers and advertising display any mandatory, known, and calculable fees in the most prominent total. Applicable government charges and affirmatively selected optional items may be added later when clearly disclosed before payment. Where permitted by the payment arrangement and law, SpooLink or its providers may delay payouts, hold settlements, establish reserves, restrict sales, cancel transactions, or investigate fraud, disputes, chargebacks, canceled events, payment failures, legal risk, or security risk.
5. Refunds, Cancellations, and Disputes
The Merchant must publish and honor a lawful refund policy, respond promptly to attendees, communicate material event changes, and maintain sufficient funds for refunds, disputes, reversals, and chargebacks. SpooLink may issue or facilitate refunds when required by law, payment-network rules, processor requirements, the Merchant’s published policy, or a separate written agreement.
6. Taxes
The Merchant is responsible for determining applicable jurisdictions, registrations, taxability, calculation, collection, reporting, filing, and remittance unless a written agreement expressly assigns a responsibility elsewhere.
A Merchant that selects “Use my own tax process” directs SpooLink not to activate automatic tax calculation for that workflow. SpooLink records the selection and acknowledgements but does not review, approve, validate, or provide legal or tax advice concerning the Merchant’s setup or conclusions. Selecting “Use Stripe Tax” does not register the Merchant for tax, determine its collection obligations, or transfer filing or remittance responsibilities to SpooLink. The Merchant must configure applicable registrations in its connected Stripe account and verify its tax treatment. Saving a preference or completing a readiness step is not legal or tax approval.
7. Tickets, Admission, and LiveGate™
The Merchant controls ticket offerings, seating charts, inventory, access rules, scanning procedures, staff assignments, and final admission decisions. Where seating tools are available, the Merchant must verify chart revisions, event-specific seating, capacity, accessible positions, labels, prices, and whether a table or group is sold as a whole or by individual seat. Temporary holds may expire; the Merchant must rely on confirmed orders and issued tickets when assigning admission. The Merchant must protect ticket-holder information, scanning devices, staff credentials, and QR codes and must not use SpooLink to facilitate unlawful resale, discrimination, fraud, or unsafe operations.
8. Merchant Content and Branding Tools
The Merchant retains responsibility for event text, artwork, logos, uploads, prompts, AI-assisted output, accessibility descriptions, and other content it submits or publishes. The Merchant represents that it has the rights and permissions necessary to use that content and authorizes SpooLink to host, format, reproduce, and display it to provide the services.
AI credits are optional purchases, separate from ticket payments and payouts. Each successfully delivered AI-generated image consumes one credit; a two-image comparison reserves two credits, and credits for images not delivered are released. Credits do not guarantee a particular creative result. Free platform access does not provide a recurring monthly AI allowance. Purchased credits expire 12 months after purchase unless the checkout terms state otherwise. Uploading, selecting, resizing, QR placement, downloading, and printing existing artwork through the reuse tools do not consume credits; asking AI to transform or replace artwork does. Purchase prices, refund exceptions, and other credit terms are described in the Terms of Service and applicable checkout.
9. Point-of-Sale Responsibilities
Where POS workflows are available, the Merchant is responsible for supported devices, staff permissions, payment verification, cash handling, accurate records of externally processed payments, receipts, reconciliation, refunds, and disputes. A prepared sale, pending transaction, or entered provider reference is not proof of completed payment. Card details must be entered only through an approved payment interface and must not be placed in notes, support messages, or uploaded files. Hardware, payment methods, and test features are available only where enabled and supported; a sandbox transaction does not move real funds.
10. Prohibited Activity and Enforcement
The Merchant may not use SpooLink for fraud, deceptive listings, unlawful events, infringement, harassment, unsafe conduct, unauthorized financial activity, circumvention of platform controls, or collection of full cardholder data outside an approved payment interface.
SpooLink may investigate, suspend, restrict, unpublish, or terminate access when reasonably necessary to protect users, comply with law or provider requirements, enforce these agreements, or address security and operational risk.
11. Records, Privacy, and Communications
The Merchant must use attendee and customer data only for lawful event operations and permitted communications, provide required notices and choices, honor opt-outs, and comply with applicable privacy, email, and text-message laws. The Privacy Policy describes SpooLink’s processing. Additional data-processing terms may apply by written agreement.
12. Term and Termination
This Agreement continues while the Merchant account or services remain active. Either party may terminate as allowed by the Terms of Service or an applicable order form. Provisions concerning fees, refunds, disputes, taxes, intellectual property, confidentiality, liability, records, and enforcement survive as needed to give them effect.
