1. Acceptance of Terms
These Terms of Service govern your access to and use of SpooLink, including our website, software, ticketing tools, merchant dashboards, LiveGate™ admissions services, QR validation, staff tools, layouts, APIs, demo environments, and related services. By using SpooLink, you agree to these Terms.
2. Services Provided
SpooLink provides event ticketing, LiveGate™ admissions scanning, QR code validation, merchant operations, staff management, layouts, reporting, demo sandbox environments, payment-related integrations, and operational tools for live events.
3. Merchant Responsibilities
Merchants are responsible for event accuracy, ticket inventory, pricing, taxes, refunds, venue operations, staffing, attendee communications, legal compliance, accessibility compliance, and all event-related obligations.
4. Ticket Purchases
Tickets issued through SpooLink are subject to merchant availability, event policies, venue rules, taxes, fees, and applicable refund terms. A ticket is a revocable limited license to attend the applicable event.
5. LiveGate™ Admissions
SpooLink LiveGate™ may validate tickets as valid, duplicate, revoked, refunded, expired, voided, wrong event, invalid, or override approved. Event operators and venues remain responsible for final admission decisions and venue enforcement.
6. Payments, Payouts, and Risk Review
SpooLink is a technology platform and is not a bank, escrow provider, money transmitter, or payment processor. SpooLink may use third-party payment processors. SpooLink may delay payouts, hold settlements, establish reserves, freeze accounts, suspend sales, or investigate activity involving chargebacks, fraud, suspicious activity, canceled events, high-risk events, or Terms violations.
7. Refunds and Cancellations
Refund obligations are generally controlled by the merchant unless otherwise required by law. SpooLink is not responsible for canceled events, postponed events, venue disputes, performer no-shows, weather interruptions, merchant insolvency, admission disputes, or event quality.
8. Prohibited Use
Users may not use SpooLink for unlawful activity, fraud, unauthorized resale, scalping, bots, scraping, reverse engineering, security circumvention, intellectual property infringement, abusive automation, or unauthorized access to systems, APIs, accounts, or databases.
9. API and Developer Usage
SpooLink may provide APIs, integrations, SDKs, webhooks, and developer tools. SpooLink may limit, modify, suspend, or revoke API access and may enforce rate limits or restrictions to protect platform stability and security.
10. Demo Sandbox
Demo, sandbox, preview, testing, investor, and educational environments use simulated or non-production data. Demo environments are not intended for live operational use and may reset, change, or contain incomplete functionality.
11. Intellectual Property
SpooLink™, LiveGate™, platform designs, workflows, branding, software, user interfaces, ticketing systems, and operational processes are owned by or licensed to SpooLoo, LLC. Unauthorized copying, reproduction, distribution, or commercial use is prohibited.
12. Communications Consent
By using SpooLink, users consent to receive transactional emails, event notifications, operational messages, security alerts, ticketing updates, and SMS notifications where applicable. Message and data rates may apply.
13. Audit Logs and Data Retention
SpooLink may maintain operational logs, admissions records, ticket lifecycle records, scan histories, fraud-monitoring records, and audit trails for operational, security, legal, compliance, analytics, and platform integrity purposes.
14. Disclaimers
SpooLink is provided “as is” and “as available.” SpooLink does not guarantee uninterrupted service, error-free operation, ticket sales, revenue generation, event success, or platform availability. Beta, preview, AI-assisted, sandbox, and experimental features may change or be removed without notice.
15. Limitation of Liability
To the maximum extent permitted by law, SpooLink shall not be liable for indirect, incidental, consequential, special, punitive, or lost-profit damages, including losses related to event cancellations, business interruption, lost revenue, data loss, or third-party failures.
16. Governing Law
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles. Disputes shall be handled on an individual basis to the maximum extent permitted by law.
